Filing, Consents and Approvals. The Selling Stockholders are not required to obtain any consent, waiver, authorization or order of, give any notice to, or make any filing or registration with, any court or other federal, state, local or other governmental authority or other person or entity in connection with the execution, delivery and performance by them of this Agreement, including the sale and purchase of the Shares, other than (A) filings with the Securities and Exchange Commission, and (B) those made or obtained prior to the date hereof.
