Filing of Proofs of Claim. In case of any Default or Event of Default under Section 9.01(f) , Section 9.01(g) or Section 9.01(h), Administrative Agent (regardless of whether the principal of any Loan or LC Obligations shall then be due and payable and regardless of whether Administrative Agent has made any demand on Borrower, any Guarantor or any Subsidiary thereof) shall be entitled and empowered, by intervention in such proceeding or otherwise: (a) to (i) file and prove a claim for the whole amount of the principal and interest owing and unpaid in respect of the Loans, LC Obligations and all other Obligations that are owing and unpaid and (ii) file such other documents as may be necessary or advisable in order to have the claims of the Banks and Administrative Agent (including any claim for the reasonable compensation, expenses, disbursements and advances of the Banks, Administrative Agent and their respective agents and counsel and all other amounts due the Banks, Administrative Agent under Section 2.06 and Section 11.04) allowed in such judicial proceeding; and (b) to collect and receive any monies or other property payable or deliverable on any such claims and to distribute the same.
