Common use of Final Agreement; Amendments Clause in Contracts

Final Agreement; Amendments. This document is the entire and complete agreement of the Parties. There are no oral agreements between the Parties hereto affecting this Agreement, and this Agreement supersedes and cancels any and all previous negotiations, arrangements, agreements and understandings, if any, between the Parties hereto or displayed by either Party to the other with respect to the subject matter hereof, including, without limitation, any prospectus or invitation to bid, and none thereof shall be used to interpret or construe this Agreement. Any amendments or modifications to this Agreement must be in writing and be executed by both Licensor and Licensee in order to be effective and binding.
