Final Termination Date. If all of the conditions precedent to the Closing set forth in Section 4 have not been satisfied or waived by the later of (a) the Closing Date or (b) such later date, if any, designated pursuant to Section 4.2(c) or determined in accordance with Section 14.8.3, then this Agreement shall terminate sixty (60) days after written notice from the Party seeking termination unless the specified condition shall have been satisfied or waived and Closing shall have occurred within such 60-day period.

Final Termination Date. If all of the conditions precedent to the Closing set forth in Section 4 1.5.1 have not been satisfied fulfilled or waived by the later of (a) the date scheduled for Closing Date as set forth in the Schedule of Performance or (b) such later Closing date, if any, designated pursuant to Section 4.2(c1.5.2(c) or determined in accordance with Section 14.8.39.8.2, then this Agreement shall automatically terminate sixty (60) days after written notice from the Party seeking termination unless later of the specified condition shall have been satisfied or waived and Closing shall have occurred within such 60-day periodforegoing dates (the “Final Termination Date”).
