Common use of Financial Information, Reports, Notices, etc Clause in Contracts

Financial Information, Reports, Notices, etc. Holdings and each Borrower will furnish, or will cause to be furnished, to the Administrative Agent (for distribution to each Lender) copies of the following financial statements, reports, notices and information: (a) (i) within 45 days after the end of each of the first three Fiscal Quarters of each Fiscal Year, a consolidated balance sheet of Holdings, the Borrowers and their Subsidiaries as of the end of each such Fiscal Quarter, and the related consolidated statements of income and cash flow of Holdings, the Borrowers and their Subsidiaries for each such Fiscal Quarter and for the period commencing at the end of the previous Fiscal Year and ending with the end of each such Fiscal Quarter, in each case certified as complete and correct by a Financial Officer of Holdings as fairly presenting in all material respects the financial position of Holdings and its consolidated Subsidiaries as of the date thereof and for the period then ended (subject to year-end audit adjustment and the absence of footnotes), together with (i) comparable financial statements at the close of and for the corresponding Fiscal Quarter for the previous Fiscal Year and for the corresponding portion of the previous Fiscal Year and (ii) a comparison of such financial statements with the projections for the applicable period provided pursuant to clause (i);
