Fixed-Royalty Exclusive License Sample Clauses

A Fixed-Royalty Exclusive License clause grants one party the exclusive right to use certain intellectual property in exchange for a predetermined, unchanging royalty payment. This means the licensee is the only entity permitted to exploit the IP, and they pay a set royalty amount regardless of sales volume or revenue generated. Such a clause provides predictability for both parties: the licensor knows exactly what income to expect, while the licensee can budget costs without concern for fluctuating royalties. Its core function is to allocate exclusive rights while ensuring stable, predictable compensation for the licensor.

Unless and until both Parties have executed a License Agreement to specific UGARF Intellectual Property and/or Joint Intellectual Property, then the following provisions at Sections 8.1-8.5 shall control with respect to such UGARF Intellectual Property and/or Joint Intellectual Property.
