Common use of Fixture Filings Clause in Contracts

Fixture Filings. Proper fixture filings under the UCC for filing under the UCC in the appropriate jurisdiction in which the Mortgaged Properties are located, necessary or desirable to create or perfect the security interests in fixtures purported to be created by the Mortgages in favor of the Collateral Agent for its benefit and the benefit of the Secured Parties; provided, however, that to the extent local counsel opines that any Mortgage would constitute a valid and effective fixture filing in the jurisdiction in which the applicable Mortgaged Property is located, a fixture filing shall not be required with respect to such Mortgaged Property;
