For Any Other Reason. If the Participant’s employment with the Company and its Subsidiaries is terminated for any reason other than death or Disability, (A) all Vested Shares then held by the Participant shall remain outstanding and shall remain subject to the terms and conditions of the Plan and the Securityholders Agreement and (B) all Series E Shares then held by the Participant that are not Vested Shares shall be immediately forfeited without payment therefor.(2)
