Foreign Subsidiary Opinion. If such extension of credit is the initial extension of credit to a Foreign Subsidiary Borrower, (i) such Foreign Subsidiary Borrower shall have become a party hereto on the Closing Date, or after the Closing Date pursuant to Section 13.1(b), (ii) the Administrative Agent shall have received a Foreign Subsidiary Opinion in respect of such Foreign Subsidiary Borrower and (iii) if by reason of the incurrence of Indebtedness by such Foreign Subsidiary Borrower hereunder such Foreign Subsidiary Borrower shall be required to Guarantee Indebtedness under any Indenture, such Foreign Subsidiary Borrower shall have become a Guarantor party to the Guarantee and Collateral Agreement. Each borrowing by, and issuance of a Letter of Credit on behalf of, a Borrower hereunder shall constitute a representation and warranty by Parent, Holdings and such Borrower as of the date of such extension of credit that the conditions contained in this Section 8.2 have been satisfied.

Each borrowing by, and issuance of a Letter of Credit on behalf of, a Borrower hereunder shall constitute a representation and warranty by Parent, Holdings and such Borrower as of the date of such extension of credit that the conditions contained in this Section 8.2 7.2 have been satisfied.
