Common use of Forfeiture upon Termination of Status as a Service Provider Clause in Contracts

Forfeiture upon Termination of Status as a Service Provider. Notwithstanding any contrary provision of this Award Agreement, the balance of the Performance Units that have not vested as of the time of Participant’s termination as a Service Provider for any or no reason and Participant’s right to acquire any Shares hereunder will immediately terminate, except in the case of termination due to the Participant’s death, in which case, the Performance Units and the Participant’s right to acquire any Shares hereunder will terminate on a date determined by the Administrator. The date on which Participant ceases to be a Service Provider shall be the date the individual ceases to provide services. The Administrator shall have the exclusive discretion to determine when Participant is no longer a Service Provider (including whether Participant may still be considered to be providing services while on an approved leave of absence).

Notwithstanding any contrary provision of this Award Agreement, the balance of the Performance Restricted Stock Units that have not vested as of the time of Participant’s termination as a Service Provider for any or no reason and Participant’s right to acquire any Shares hereunder will immediately terminate, except in the case of termination due to the Participant’s death, in which case, the Performance Units and the Participant’s right to acquire any Shares hereunder will terminate on a date determined by the Administrator. The date on which Participant ceases to be a Service Provider shall be the date the individual ceases to provide servicesservices and shall not be extended by any notice of termination period or non-working garden leave established under the employment law in the jurisdiction in which Participant resides or under the terms of Participant’s employment agreement, if any. The Administrator shall have the exclusive discretion to determine when Participant is no longer a Service Provider (including whether Participant may still be considered to be providing services while on an approved leave of absence).

Notwithstanding any contrary provision of this Award Agreement, but subject to any acceleration provisions in this Award Agreement, the balance of the Performance Units that have not vested as of the time of Participant’s termination as a Service Provider for any or no reason and Participant’s right to acquire any Shares hereunder will immediately terminate, except in the case of termination due to the Participant’s death, in which case, any of the Performance Units that remain unvested and the Participant’s right to acquire any Shares hereunder with respect to such Performance Units will terminate on a date determined by the Administrator. The date on which Participant ceases to be a Service Provider shall be the date the individual ceases to provide services. The Administrator shall have the exclusive discretion to determine when Participant is no longer a Service Provider (including whether Participant may still be considered to be providing services while on an approved leave of absence).
