Form and Registration. The New Notes will be issued only in registered form and expected to be initially represented by a Regulation S Global Note, a Rule 144A Global Note and an IAI Global Note. The minimum denomination of the New Notes will be US$1,000 and integral multiples of US$1 in excess thereof.
