Form of Entity. The Applicant is a corporation duly created and validly existing, under the laws of the State of Delaware and registered to do business under the laws of the State of Connecticut and in each other jurisdiction where the ownership of its property or the conduct of its business requires qualification. Further, the Applicant will preserve and maintain its existence as a corporation duly organized validly existing, and in good standing under the laws of Delaware, and will remain (or become) qualified to do business and in good standing in Connecticut and in each other jurisdiction where the nature of its business or the ownership of its property makes such qualification necessary.
