Common use of Form of Escrow Agreement Clause in Contracts

Form of Escrow Agreement. Buyer and Seller hereby agree that the Escrow Agreement attached hereto as Exhibit 1 is the agreed upon form of the Escrow Agreement and the Adjustment Escrow Agreement contemplated by Sections 8.7 and 8.8 of the Agreement and to be entered into at Closing (as so consolidated into a single escrow agreement, the “Escrow Agreement”).
