Common use of Form of Legend Clause in Contracts

Form of Legend. All certificates for the shares of the Stock shall bear the legend set forth below. "Sale, transfer, assignment, pledge, gift or any other disposition, alienation or encumbrance of the shares represented by this certificate is restricted by the terms of a Shareholders' Agreement dated as of January 31, 2000, among certain Shareholders and the Company, which may be examined at the office of the Company, and such shares may be sold, transferred, assigned, pledged, given or otherwise disposed of, alienated or encumbered only upon compliance, with the terms of that Agreement, which is incorporated herein by reference."
