Form of Purchase. Price The purchase price shall be payable 50% in cash and 50% in promissory notes issued by the Purchaser (the "Notes") in the form of Schedule 1.3(a) hereto). Notes shall be valued at the principal amount thereof. The Notes shall be secured pursuant to a Pledge and Escrow Agreement in the form of Schedule 1.3(b) hereto.
