Form S-3ASR Clause Samples

The Form S-3ASR clause refers to the use of an automatic shelf registration statement under the Securities Act of 1933, typically by well-known seasoned issuers (WKSIs). This clause allows eligible companies to register securities for public offering with the SEC using a streamlined process, enabling them to offer and sell securities on a continuous or delayed basis without further SEC review. Its core practical function is to provide flexibility and efficiency in capital raising by reducing regulatory delays and administrative burdens for large, established issuers.
