FORMAL CESSION. 1. Promptly after your liability for insurance has begun on the individual risk, you must send to us a "Formal Reinsurance Cession", Exhibit II. Based upon the information on the "Formal Reinsurance Cession", we will prepare and send you a "Reinsurance Cession Card", Exhibit II. 2. When reinsurance is reduced or changed, you must send us an amended "Formal Reinsurance Cession".

FORMAL CESSION. 1. In the case of each reinsurance cession, promptly after the Ceding Company's liability for its insurance has begun, the Ceding Company shall deliver to Occidental a "Formal Reinsurance Cession", Exhibit II. Based upon the data set forth on the "Formal Reinsurance Cession" Occidental shall prepare a "Reinsurance Cession Card", Exhibit III, and shall deliver one copy to the Ceding Company.

In addition, neither the Term Agent nor the ABL Agent shall seek any relief from the automatic stay with respect to any Collateral without providing three (3) days’ prior written notice to the other, unless such period is agreed by both the ABL Agent and the Term Agent to be modified or unless the ABL Agent or Term Agent, as applicable, makes a good faith determination that either (A) the ABL Priority Collateral or the Term Priority Collateral, as applicable, will decline speedily in value or (B) the failure to take any action will have a reasonable likelihood of endangering the ABL Agent’s or the Term Agent’s ability to realize upon its Collateral.
