Formation and Operation of Newco. Prior to the Closing Date, Trafigura shall file a Certificate of Formation for Newco in accordance with the Delaware Limited Liability Company Act and adopt a Limited Liability Company Agreement of Newco. Trafigura shall cause Newco to refrain from any business activities prior to the Closing, other than obtaining an employer Tax identification number, bank account and any other activities that are reasonably necessary to consummate the transactions contemplated by this Agreement.
