Common use of Fractional Interest Clause in Contracts

Fractional Interest. The Company shall not issue fractional Warrant Shares on the exercise of Warrants. If Warrant Certificates evidencing more than one Warrant shall be presented for exercise at the same time by the same Holder, the number of full Warrant Shares which shall be issuable upon such exercise thereof shall be computed on the basis of the aggregate number of Warrants so to be exercised. If any fraction of a Warrant Share would, except for the provisions of this Section 5.4, be issuable on the exercise of any Warrant (or specified portion thereof), the Company shall, in lieu of issuing any fractional Warrant Shares, pay an amount in cash calculated by it to be equal to the then Current Market Price per Common Share on the date of such exercise multiplied by such fraction computed to the nearest whole cent. The Holders, by their acceptance of the Warrant Certificates, expressly waive their right to receive any fraction of a Warrant Share or a stock certificate representing a fraction of a Warrant Share.

If Warrant Certificates evidencing evidencing, more than one Warrant shall be presented for exercise at the same time by the same Holder, the number of full Warrant Shares shares of Common Stock which shall be issuable upon such exercise thereof shall be computed on the basis of the aggregate number of Warrants so to be exercised. If any fraction of a Warrant Share share of Common Stock would, except for the provisions of this Section 5.4, SECTION 5.4 be issuable on the exercise of any Warrant (or specified portion thereof), the Company shallmay, in lieu of issuing any fractional Warrant Sharesshares of Common Stock, pay an amount in cash calculated by it to be equal to the then Current Market Price per share of Common Share Stock on the date of such exercise multiplied by such fraction computed to the nearest whole cent. The Holders, by their acceptance of the Warrant Certificates, expressly waive their right to receive any fraction of a Warrant Share share of Common Stock or a stock certificate representing a fraction of a Warrant Shareshare of Common Stock if such amount of cash is paid in lieu thereof.
