FRAMEWORK STRUCTURE. ORDER FORM AND AGREEMENTS 1.1 The Customer shall complete the order form attached, indicating the Data it requires and the use it wishes to make of the Data. 1.2 Each such order form which is approved by Aquis and agreed between the Parties (an “Order Form”) shall constitute a separate contract which incorporates and is subject to these Terms and Conditions, each such contract being an “Agreement” and references in these Terms and Conditions tothis Agreement” being construed accordingly.

FRAMEWORK STRUCTURE. ORDER FORM AND AGREEMENTS 1.1 The Distributor has completed the Distributor Order Form, indicating the Data it requires and the use it wishes to make of the Data including any Distribution of such Data. 1.2 Each Distributor Order Form which is approved by Aquis and agreed between the Parties shall be subject to these terms and conditions, each such Order Form forming part of the Agreement. Each subsequent Distributor Order Form that is submitted to Aquis and accepted by Aquis shall supersede any other such Order Form previously submitted by the Distributor and approved by Aquis.

FRAMEWORK STRUCTURE. These GTC establish the contractual framework for the supply of Goods, Services or Software by Supplier to Endava or any of its Affiliates, pursuant to Contract and Order executed by Supplier and Endava. If the Contract, Order provides for the: a) provision of Goods to Endava, the additional terms set out in appendix A shall apply; b) provision of Services to Endava, the additional terms set out in appendix B shall apply; and/or c) licensing of Software to Endava, the additional terms set out in appendix C shall apply. To enter into this GTC, Supplier and Endava will execute a Contract and Order. Each Order: (a) forms an agreement for the applicable Goods, Services and/or Software between Supplier and the relevant Endava entity that executes it, and supplements the Contract (or prevails against Contract if Oder terms are different than Contract); and (b) incorporates by reference this GTC. Each Party entering into a Contract and Order shall bear its own costs in the production and negotiation of an Order. The Endava entity that executes a Contract and Order is considered “Endava” for all purposes of that Contract and Order, and such Endava entity shall be bound to the terms of this GTC insofar as they apply to the Goods, Services and/or Software being procured under Contract or Order. In any case, the Parties entering the Contract or Order shall be solely liable for their actions and omissions, as per this GTC.
FRAMEWORK STRUCTURE. 4.1. The Framework Agreement structure has been set up to provide a cross range of research and analytical services. There are 4 Business Areas that are relevant to this Framework Agreement and outlined below. These summarise the key business requirements that the Contractor may be asked to provide expertise in, in order to support the Authority in its objectives. 4.2.1. Business Area A - Sustainability, Agri-Environment and Climate Change:
FRAMEWORK STRUCTURE. 2.1 NMRN may during the term of this Agreement order Services from the Supplier using the process set out in this Agreement. 2.2 The Supplier’s appointment to provide the Services is not exclusive and NMRN is not under any obligation to order Services from the Supplier. 2.3 To call off Services, NMRN shall submit a Request for Services containing such information as it considers necessary from the Request for Services template in paragraph 1 of Schedule 3. The Parties shall then follow the process in Clauses 2.3.1 to 2.3.4 below: 2.3.1 within 5 Working Days of the date of the Request for Services, the Supplier shall submit to NMRN a draft Statement of Work containing such information as is reasonably necessary for NMRN to properly consider the Supplier’s proposed response. As a minimum, the draft Statement of Work shall contain the information set out in the Statement of Work template in paragraph 2 of Schedule 3; 2.3.2 NMRN shall, when it has finished considering the proposal, confirm to the Supplier whether it approves or rejects the draft Statement of Work; 2.3.3 if NMRN rejects the draft Statement of Work it shall provide reasons for the rejection and if it wishes shall provide the Supplier the opportunity to resolve the issues relating to the rejection and re-submit. If so, the Supplier shall fully take into account NMRN’s reasons for rejection and prepare and submit a revised draft Statement of Work for approval by NMRN within 5 Working Days of the initial rejection; and 2.3.4 a draft Statement of Work may be reviewed, amended and resubmitted a number of times prior to NMRN finally approving or rejecting the draft Statement of Work. 2.4 This Agreement shall govern all Services requested by NMRN using a Statement of Work. 2.5 Any forecasts NMRN provides to the Supplier are estimates only and are not binding. 2.6 The Supplier shall be under no obligation to provide (and NMRN shall not be under an obligation to buy) a Service until the Statement of Work for that Service is agreed between the Parties in accordance with Clause 2.7. 2.7 A Statement of Work shall be deemed to have been agreed between the Parties upon: 2.7.1 the signature by both Parties of a Statement of Work, which shall (unless agreed otherwise by NMRN) include: (a) the minimum information set out in paragraph 2 of Schedule 3; and (b) a valid PO number issued by NMRN; 2.7.2 the issuing of a valid PO number by NMRN to the Supplier at the same time as providing the Request for Services (in ...

  • Fee Structure In consideration of Consultant providing services, Municipality shall pay Consultant for Services performed in accordance with Exhibit A – List of Services and Fee Schedule.

  • Framework Management Structure The Supplier shall provide a suitably qualified nominated contact (the “Supplier Framework Manager”) who will take overall responsibility for delivering the Services required within this Framework Agreement, as well as a suitably qualified deputy to act in their absence. The Supplier shall put in place a structure to manage the Framework in accordance with Framework Schedule 2 (Services and Key Performance Indicators). A full governance structure for the Framework will be agreed between the Parties during the Framework Agreement implementation stage. Following discussions between the Parties following the Framework Commencement Date, the Authority shall produce and issue to the Supplier a draft Supplier Action Plan. The Supplier shall not unreasonably withhold its agreement to the draft Supplier Action Plan. The Supplier Action Plan shall, unless the Authority otherwise Approves, be agreed between the Parties and come into effect within two weeks from receipt by the Supplier of the draft Supplier Action Plan. The Supplier Action Plan shall be maintained and updated on an ongoing basis by the Authority. Any changes to the Supplier Action Plan shall be notified by the Authority to the Supplier. The Supplier shall not unreasonably withhold its agreement to any changes to the Supplier Action Plan. Any such changes shall, unless the Authority otherwise Approves, be agreed between the Parties and come into effect within two weeks from receipt by the Supplier of the Authority’s notification. Regular performance review meetings will take place at the Authority’s premises throughout the Framework Period and thereafter until the Framework Expiry Date (“Supplier Review Meetings”). The exact timings and frequencies of such Supplier Review Meetings will be determined by the Authority following the conclusion of the Framework Agreement. It is anticipated that the frequency of the Supplier Review Meetings will be once every month or less. The Parties shall be flexible about the timings of these meetings. The purpose of the Supplier Review Meetings will be to review the Supplier’s performance under this Framework Agreement and, where applicable, the Supplier’s adherence to the Supplier Action Plan. The agenda for each Supplier Review Meeting shall be set by the Authority and communicated to the Supplier in advance of that meeting. The Supplier Review Meetings shall be attended, as a minimum, by the Authority Representative(s) and the Supplier Framework Manager.

  • Governance Structure The Academy shall be organized and administered under the direction of the Academy Board and pursuant to the governance structure as set forth in its Bylaws. The Academy’s Board of Directors shall meet at least six times per fiscal year, unless another schedule is mutually agreed upon by the University President or Designee and the Academy.
