Freedom from Encumbrances. The conveyance of the Assets to NMFS hereunder shall be free and clear of all claims, security interests, pledges, options, rights of first refusal, liens, financing statements, deeds of trust, mortgages, charges, assessments, restrictions, leases, and encumbrances (all such claims, security interests, pledges, options, rights of first refusal, liens, financing statements, deeds of trust, mortgages, charges, assessments, restrictions, and encumbrances being referred to individually as an "Encumbrance" and collectively as "Encumbrances").
