Common use of Frontier OSS Information Clause in Contracts

Frontier OSS Information. Any information accessed by, or disclosed or provided to, Everstream through or as a part of Frontier OSS Services. The term “Frontier OSS Information” includes, but is not limited to: (a) any Customer Information related to a Frontier Customer or a Everstream Customer accessed by, or disclosed or provided to, Everstream through or as a part of Frontier OSS Services; and, (b) any Everstream Usage Information (as defined in Section 6.6 of this Attachment) accessed by, or disclosed or provided to, Everstream. 6.4.1 Subject to the provisions of this Section 6, in accordance with, but only to the extent required by, Applicable Law, Frontier grants to Everstream a non-exclusive license to use Frontier OSS Information. 6.4.2 All Frontier OSS Information shall at all times remain the property of Frontier. Except as expressly stated in this Section 6, Everstream shall acquire no rights in or to any Frontier OSS Information. 6.4.3 The provisions of this Section 6.4.3 shall apply to all Frontier OSS Information, except (a) Everstream Usage Information, (b) CPNI of ▇▇▇▇▇▇▇▇▇▇, and (c) CPNI of a Frontier Customer or a Everstream Customer, to the extent the Customer has authorized ▇▇▇▇▇▇▇▇▇▇ to use the CPNI. 6.4.3.1 Frontier OSS Information may be accessed and used by Everstream only to provide Telecommunications Services to Everstream Customers. 6.4.3.2 Everstream shall treat Frontier OSS Information that is designated by Frontier, through written or electronic notice (including, but not limited to, through the Frontier OSS Services), as “Confidential” or “Proprietary” as Confidential Information of Frontier pursuant to Section 10 of the General Terms and Conditions. 6.4.3.3 Except as expressly stated in this Section 6, this Agreement does not grant to Everstream any right or license to grant sublicenses to other persons, or permission to other persons (except Everstream’s employees, agents or contractors, in accordance with Section 6.4.3.4 of this Attachment), to access, use or disclose Frontier OSS Information. 6.4.3.4 Everstream’s employees, agents and contractors may access, use and disclose Frontier OSS Information only to the extent necessary for Everstream’s access to, and use and disclosure of, Frontier OSS Information permitted by this Section 6. Any access to, or use or disclosure of, Frontier OSS Information by Everstream’s employees, agents or contractors, shall be subject to the provisions of this Agreement, including, but not limited to, Section 10 of the General Terms and Conditions of this Attachment. 6.4.3.5 Everstream’s license to use Frontier OSS Information shall expire upon the earliest of: (a) the time when the Frontier OSS Information is no longer needed by Everstream to provide Telecommunications Services to Everstream Customers; (b) termination of the license in accordance with this Section 6; or

The term “Frontier OSS Information” includes, but is not limited to: (a) any Customer Information related to a Frontier Customer or a Everstream Yorkstream Customer accessed by, or disclosed or provided to, Everstream Yorkstream through or as a part of Frontier OSS Services; and, (b) any Everstream Yorkstream Usage Information (as defined in Section 6.6 7.6 of this Attachment) accessed by, or disclosed or provided to, EverstreamYorkstream. 6.4.1 7.4.1 Subject to the provisions of this Section 67, in accordance with, but only to the extent required by, Applicable Law, Frontier grants to Everstream Yorkstream a non-exclusive license to use Frontier OSS Information. 6.4.2 7.4.2 All Frontier OSS Information shall at all times remain the property of Frontier. Any access to, or use or disclosure of, Frontier OSS Information by EverstreamYorkstream’s employees, agents or contractors, shall be subject to the provisions of this Agreement, including, but not limited to, including Section 10 of the General Terms and Conditions of this Attachment. 6.4.3.5 Everstream7.4.3.5 Yorkstream’s license to use Frontier OSS Information shall expire upon the earliest of: (a) the time when the Frontier OSS Information is no longer needed by Everstream Yorkstream to provide Telecommunications Services to Everstream Yorkstream Customers; (b) termination of the license in accordance with this Section 67; oror (c) expiration or termination of this Agreement. 7.4.3.6 All Frontier OSS Information received by Yorkstream shall be destroyed or returned by Yorkstream to Frontier, upon expiration, suspension or termination of the license to use such Frontier OSS Information. 7.4.4 Unless sooner terminated or suspended in accordance with this Agreement or this Section 7 (including Section 2.2 of the General Terms and Conditions Section of this Agreement), Yorkstream’s access to Frontier OSS Information through Frontier OSS Services shall terminate upon the expiration or termination of this Agreement.
