Fulfillment of Duties. As long as the Company sustains and continues Executive's position and designation as Senior Vice President and General Counsel of the Company, Executive shall (i) devote his full- time efforts during normal business hours to the performance of his services hereunder, except during vacation periods and periods of illness or incapacity, except that nothing in this Agreement shall preclude Executive from devoting reasonable periods required for serving as a director, or member of a committee of, or holding other positions, in any organization involving no conflict of interest with the interests of the Company and (ii) perform his services hereunder faithfully, diligently and to the best of his skill and ability.
