Common use of Full Access and Consultation Clause in Contracts

Full Access and Consultation. Prior to closing of this transaction as defined herein, the Seller will permit representatives of the Buyers to have full access at all reasonable times, and in a Manner so as not to interfere with the normal business operations of the Stations, to all premises, properties, books, records, contracts, Tax records, and documents of or pertaining to the Seller for the purpose of permitting the Buyer to, among other things: (a) conduct its due diligence review, (b) review financial statements of the Seller, (c) verify the accuracy of representations and warranties of the Seller contained in this Agreement, and (d) prepare for the consummation of the transactions contemplated by this Agreement. The Seller will consult with the Buyers' management with a view to informing Buyer's management as to the operations, management and business of the Stations.
