Neither this Agreement nor any certificate or Schedule or other information furnished by or on behalf of Photocomm pursuant to this Agreement contains any untrue statement of a material fact or, when this Agreement and such certificates, Schedules and other information are taken in their entirety, omits to state a material fact necessary to make the statements contained herein or therein not misleading.
