Common use of Full Time; Best Efforts Clause in Contracts

Full Time; Best Efforts. The Executive shall use his best efforts to promote the interests of the Company and shall devote his full business time and efforts to its business and affairs and shall not provide management services to any other company or otherwise engage in business activities that would reasonably be expected to materially interfere with the performance of the Executive’s duties, services and responsibilities hereunder.

The Executive may engage in business charitable, personal or civic endeavors and may serve on the boards and advisory boards of the entities set forth on Exhibit A, so long as such activities that would reasonably be expected to materially do not interfere with the performance of the Executive’s duties, services duties and responsibilities hereunder.

Notwithstanding the foregoing, Executive may serve on other company boards of directors, with the approval of the Board, or otherwise engage in business religious, charitable or other community activities that would reasonably be expected to as long as such services and activities do not materially interfere with the Executive’s performance of the Executive’s duties, services and responsibilities hereunderduties to the Company as provided in this Agreement.

Board, the Executive may serve on the boards of other entities. The Executive may engage in business activities that would reasonably be expected to materially charitable or civic endeavors, so long as they do not interfere with the performance of the Executive’s duties, services duties and responsibilities hereunder.
