Common use of Full Working Time Clause in Contracts

Full Working Time. During the Term, the Executive shall devote his full working time and his best efforts, and apply all of his skill and experience, to the proper performance of his duties hereunder and to the business and affairs of IPC. Except as set forth in Exhibit B hereto, the Executive, without the prior written approval of the Board, shall not, either directly or indirectly, engage in any business other than that specified herein or accept any employment or business office whatsoever (including but not limited to serving as a director ) from any other Person (but the foregoing shall not preclude the Executive, subject to Section 7 hereof, from (i) serving as a director of any nonprofit or charitable organization, or (ii) making an investment in any other business, so long as in any such case the Executive does not actively participate in such other business or organization and such activity does not interfere with the Executive's ability to perform his duties hereunder and does not constitute a conflict of interest with IPC or any of its Affiliates in the reasonable opinion of the Board).
