Further Contracts Clause Samples

Further Contracts. Up to the earlier of the Closing or the termination of this Agreement, and except in the ordinary course of business, Contributor shall not, without Acquiror’s prior written approval (which approval may be withheld in Acquiror’s sole and absolute discretion), enter into any further agreements or contracts relating to the Property that cannot be terminated upon thirty (30) days’ notice without cost to Acquiror.

Further Contracts. The parties shall execute and deliver all documents and perform all further acts that may be reasonably necessary to effectuate the provisions of this Contract.

Further Contracts. Nothing in this Agreement is intended to or shall preclude the Parties from further contracting with each other, including with respect to extending the employment of or re-employing Yamada, either during or after the term of this Agreement.

Further Contracts. There is no compulsion on either the Council or the CEO to agree to a new Contract. The Council and/or the CEO may initiate discussions not later than 3 months prior to the expiry of the Term for the parties to enter into a new Contract for a further term with the Council making a decision to finalise those discussions not later than 1 month prior to the expiry of the term of this Contract. In the event that the Council and the CEO agree to a new contract, a new contract will be executed.

Further Contracts. Nothing in this Agreement is intended to or shall preclude the Parties from further contracting with each other, including with respect to extending the Consulting Period of or re-employing Ching, either during or after the term of this Agreement.

Further Contracts. The decision by Blue Cross to enter into this Agreement with CareAdvantage shall not be construed or interpreted by CareAdvantage as the intention of Blue Cross to enter into any other contract with CareAdvantage for any other services, during the Term or following the termination of this Agreement, and the parties hereto expressly acknowledge that Blue Cross has no obligation to enter into any further contract or agreement with CareAdvantage for the provision of any services, either during the Term or following the termination of this Agreement. CareAdvantage is not authorized to make representation to, and shall not make representation to, any third party that Blue Cross has any obligation to enter into any other contract with CareAdvantage either during the Term or following the termination of this Agreement.

Further Contracts. Up to the time of Closing, Seller will not enter into any further agreements, contracts or leases relating to the Property, which cannot be terminated upon thirty (30) days notice, without Purchaser’s prior written approval, other than contracts entered into in the ordinary course of business. Purchaser expressly acknowledges that Seller may enter into any storage leases similar to the form of lease set forth in item 1 in Exhibit “B” without Purchaser’s approval.

Further Contracts. 8.01 Within SEVEN (7) DAYS of the execution hereof by the parties hereto "ABFG" shall cause to be prepared and delivered to "Dove" at Doves address for Service contained herein an Agreement containing the terms contained herein together with such other terms as would be customary in such an Agreement and "Dove" shall, within SEVEN (7) DAYS of it's receipt of said Agreement return to "ABFG" it's comments respecting same after which "ABFG" has SEVEN (7) FURTHER DAYS in which to respond to "Dove" comments with "Dove" final comments to be received by "ABFG" within a final SEVEN (7) DAY period after which any issue not resolved by the parties shall be referred to Arbitration it being agreed that once the party's have reached an Agreement that "ABFG" shall prepare the Final Agreement with SEVEN (7) DAYS of final agreement and that "Dove" shall cause a fully executed copy of the Agreement to be received by "ABFG" within SEVEN (7) DAYS thereafter. "ABFG"shall comply within SEVEN (7) DAYS from the date of executed copy of this memorandum of understanding.

Further Contracts. 3.1 There is no compulsion on either the Council or the Officer to agree to a new contract or any extension of this Contract past the date of termination. The Council and/or the Officer shall initiate discussions not later than six (6) weeks prior to the date of termination for the parties to enter into a new contract for a further term. In the event that the Council and the Officer agree to a new contract, a new contract will be executed. 3.2 The Council agrees that the Officer’s: (a) past service with the Council will be recognised when calculating any service-based entitlements of the Officer pursuant to this Contract, any new contract or any extension of this Contract; and (b) untaken accrued leave entitlements accrued under this Contract will be recognised by the Council in addition to leave entitlements accruing to the Officer pursuant to any new contract or extension of this Contract.
