Common use of Further Efforts Clause in Contracts

Further Efforts. Each of the parties to this Agreement shall: (i) promptly make any filings required by them or any of their subsidiaries, and thereafter make any other submissions required under all applicable Laws with respect to the transactions contemplated hereby and by the other Operative Agreements; and (ii) use commercially reasonable efforts to promptly take, or cause to be taken, all other actions and do, or cause to be done, all other things necessary, proper or appropriate to consummate and make effective the transactions contemplated by this Agreement and the other Operative Agreements. In addition, in the event of any Action relating hereto or to the transactions contemplated by this Agreement and by the other Operative Agreements, the parties to this Agreement agree to cooperate and use commercially reasonable efforts to defend against and respond thereto.
