Common use of Further Efforts Clause in Contracts

Further Efforts. QuadraMed agrees to use diligent efforts to take, or cause to be taken, all actions and to do, or cause to be done, all things necessary, proper or advisable under applicable laws and regulations to consummate and make effective the Merger and the other transactions contemplated hereby in accordance with the terms of this Agreement. In case at any time any further action is necessary or desirable to carry out the purposes of this Agreement, QuadraMed and Acquisition Co. will use diligent efforts to effectuate all such action. As soon as reasonably practicable after the date hereof, and in any event on or prior to the Closing, QuadraMed and Acquisition Co. will use reasonable diligent efforts to obtain the consents of all necessary governmental entities and other persons to the Merger.
