Further Instruments and Documents. Each Party shall, promptly upon the request of the other Party or Escrow Agent, acknowledge and deliver to the other Party or Escrow Agent any and all further instruments and assurances reasonably requested or appropriate to evidence or give effect to the provisions of this Agreement or to satisfy Escrow Agent’s requirements.
