Common use of Further Obligations of the Parties Clause in Contracts

Further Obligations of the Parties. (a) Covered Entity shall notify Business Associate of any limitations in its notice of privacy practices in accordance with 45 CFR §164.520, to the extent that such limitation may affect Business Associate's use or disclosure of PHI. (b) Covered Entity shall notify Business Associate of any changes in, or revocation of, permission by an Individual to use or disclose PHI, to the extent that such changes may affect Business Associate's use or disclosure of PHI. (c) Covered Entity shall notify Business Associate of any restriction to the use or disclosure of PHI that Covered Entity has agreed to in accordance with 45 CFR §164.522, to the extent that such restriction may affect Business Associate's use or disclosure of PHI. (d) Covered Entity shall comply with all applicable state and federal privacy and security laws and regulations, including the HIPAA Rules. Covered Entity agrees to ensure that any patient authorizations or consents that may be required under state or federal law or regulation have been obtained in order to transmit PHI to Business Associate and to enable Business Associate and its subcontractors to use and disclose PHI as contemplated by this Agreement and the Business Associate Agreement.
