Common use of Further Services Clause in Contracts

Further Services. 5.1 The Client may request Further Services from iCognition from time to time during the Term by following this procedure: (a) sending iCognition an Order; and (b) accepting iCognition’s Proposal for that Order. 5.2 Each Proposal: (a) remains open for acceptance for a period of 14 days from the date of the Proposal; and (b) acceptance by the Client will be governed by the terms of this agreement. 5.3 iCognition is not required to provide a Proposal in response to every Order. For example, iCognition may elect not to issue a Proposal in circumstances where iCognition has a conflict of interest or where iCognition does not believe it has sufficient resources to meet the Client’s requirements. 5.4 For clarity, this procedure does not apply to the request for the Services.
