Future Assignment. During the period commencing on January 1, 2014 and ending five (5) years thereafter, LME shall assign to E Sub, and E Sub shall in turn sell to UPLLC, for no additional consideration, for each such year an aggregate of 100 Patents (20 of which shall be United States Patents), each with no less than three (3) years remaining prior to expiration, selected by LME in its sole discretion; provided that LME may choose to accelerate such contribution to be made at one time or over a shorter period of time. The assignment of the Patents by LME to E Sub and the sale by E Sub of such Patents to UPLLC shall be on the same terms and conditions as those set forth in the LME Patent Assignment Agreement and the E Sub Patent Assignment Agreement, as applicable, and for administrative ease, each Party agrees that E Sub may direct LME or any of its Affiliates to assign and convey such Patents directly to UPLLC in satisfaction of its obligations pursuant to this Section 6.3. The assignment of the Patents by LME and the sale of Patents by E Sub pursuant to this Section 6.3 shall also be explicitly conditioned on UPLLC’s execution and delivery to LME a notification letter in the same form attached hereto as Exhibit 5.1(m) with respect to such Patents.
Future Assignment. Assignee does not have any further authorization to assign the Contract without the express written consent of Assignor.
Future Assignment. Interconnection Customer understands and agrees that any assignee of this GIA shall either, simultaneous with the assignment of this GIA, (i) join as a party to that certain Amended and Restated Shared Facilities Agreement dated December 10, 2009, between G595, G735 and J091 (the “Shared Facilities Agreement”) and that certain Common Facilities Agreement dated December 10, 2009 between G735 and J091 (the “Common Facilities Agreement”) or (ii) enter into a shared facilities agreement with G595 and G735 that includes Section 4.1 and 6.3 of the Shared Facilities Agreement and a common facilities agreement with G735 that includes Section 4.1 and 6.3 of the Common Facilities Agreement.
Future Assignment. The Assignor hereby covenants and warrants that a further assignment of Leases or Rents shall not be granted unless the Assignor provides the Assignee with an acknowledgement from any subsequent creditor that this Agreement shall have full priority over any such further assignment.

  • SUBLET/ASSIGNMENT The Lessee may not transfer or assign this Lease, or any right or interest hereunder or sublet said leased Premises or any part thereof without first obtaining the prior written consent and approval of the Lessor.

  • Overtime Assignment A. In institutional settings when the Agency determines that overtime is necessary, overtime shall be offered on a rotating basis, to the qualified employees who usually work the shift where the opportunity occurs. If no qualified employees on the shift desire to work the overtime, it will be offered on a rotating basis first to the qualified employee with the most state seniority at the work site. When there are no volunteers to work the overtime as outlined above, and/or where an emergency exists, reasonable overtime hours may be required by the Agency. Such overtime shall be assigned, on a rotating basis, first to the qualified employee with the least state seniority at the work site. This policy shall not apply to overtime work which is specific to a particular employee’s claim load or specialized work assignment or when the incumbent is required to finish a work assignment. B. In non-institutional settings, the Agency reserves the right to schedule and approve overtime. In emergency situations overtime may be approved after the fact. Required overtime that can be worked by more than one (1) employee at the work site (that which is not specific to the particular employee’s case load or specialized work assignment) will be offered on a rotating, state seniority basis. If no qualified employee volunteers for the work, or where an emergency exists, then the qualified employee with the least state seniority at the work site will be assigned on a rotating basis. C. The parties recognize that in both institutional and non-institutional settings, that the Employer has the right to require mandatory overtime where necessary; however, the Employer will not abuse the utilization of mandatory overtime.
