Common use of Future Information Clause in Contracts

Future Information. All information furnished or to be furnished to the Administrative Agent or the Lenders by or on behalf of the Borrower or any Subsidiary on or after the Closing Date in connection with or pursuant to the Loan Documents or in connection with or pursuant to any amendment or modification of, or waiver of rights under, the Loan Documents, shall, at the time the same is so furnished, but in the case of information dated as of a prior date, as of such date, (i) in the case of any information prepared in the ordinary course of business, be complete and correct in all material respects in the light of the purpose prepared, and, in the case of any information required by the terms of the Loan Documents or the preparation of which was requested by any Lender, be complete and correct in all material respects to the extent necessary to give such Lender true and accurate knowledge of the subject matter thereof, (ii) not contain any untrue statement of a material fact, and (iii) not omit to state a material fact necessary in order to make the statements contained therein not misleading in the light of the circumstances under which they were made, and the furnishing of the same to the Administrative Agent or any Lender shall constitute a representation and warranty by the Borrower made on the date the same are so furnished to the effect specified in clauses (i), (ii) and (iii).

Future Information. All information furnished or to be Information furnished to the Administrative Agent or the Lenders Banks by or on behalf of the Borrower or any Subsidiary on or after the Closing Agreement Date in connection with or pursuant to the Loan Documents or in connection with or pursuant to any amendment or modification of, or waiver of rights under, the Loan Documents, shall, at the time the same is so furnished, but in the case of information Information dated as of a prior date, as of such date, (i) in the case of any information Information prepared in the ordinary course of business, be complete and correct in all material respects and in the light of the purpose prepared, and, in the case of any information Information required by the terms of the Loan Documents or the preparation of which was requested by the Agent or any LenderBank, be complete and correct in all material respects to the extent necessary to give the Agent or such Lender Bank (as the case may be) true and accurate knowledge of the subject matter thereofthereof in all material respects, (ii) not contain any untrue statement of a material fact, and (iii) not omit to state a material fact necessary in order to make the statements contained therein not misleading in the light of the circumstances under which they were made, and the furnishing of the same to the Administrative Agent or any Lender Bank shall constitute a representation and warranty by the Borrower made on the date the same are so furnished to the effect specified in clauses (i), (ii) and (iii)) above; provided, however, that any representation and warranty contained in this subsection (d) in respect of any Information that relates to any Person other than the Borrower or any AEE Entity is to the best knowledge of the Borrower.

Future Information. All information furnished or to be Information furnished to the Administrative Agent or the Lenders any Bank by or on behalf of the Borrower or any Subsidiary of its Subsidiaries on or and after the Closing Agreement Date in connection with or pursuant to this Agreement and the Loan Documents Notes or in connection with or pursuant to any amendment or modification of, or waiver of rights under, the Loan Documentsthis Agreement or any Note, shall, at the time the same is so furnished, but in the case of information Information dated as of a prior date, as of such prior date, (iA) in the case of any information such Information prepared in the ordinary course of business, be complete and correct in all material respects in the light of the purpose prepared, and, in the case of any information such Information required by the terms of the Loan Documents this Agreement or any Note or the preparation of which was requested by the Agent or any LenderBank, be complete and correct in all material respects to the extent necessary to give the Agent or such Lender Bank true and accurate knowledge of the subject matter thereofthereof in all material respects, (iiB) not contain any untrue statement of a material fact, fact and (iiiC) not omit to state a material fact necessary in order to make the statements contained therein not materially misleading in the light of the circumstances under which they were made, and the furnishing of the same to the Administrative Agent or any Lender Bank shall constitute a representation and warranty by the Borrower made on the date the same are so furnished to the effect specified in clauses (iA), (iiB) and (iiiC).

Future Information. All information furnished or to be Information furnished to the Administrative Agent or the Lenders Bank by or on behalf of the Borrower or any Subsidiary Loan Party on or after the Closing Agreement Date in connection with or pursuant to the Loan Documents or in connection with or pursuant to any amendment or modification of, or waiver of rights under, the Loan Documents, shall, at the time the same is so furnished, but in the case of information Information dated as of a prior date, as of such date, (i) in the case of any information Information prepared in the ordinary course of business, be complete and correct in all material respects in the light of the purpose prepared, and, in the case of any information Information required by the terms of the Loan Documents or the preparation of which was is requested by any Lenderthe Bank, be complete and correct in all material respects in light of the circumstances under which the Information is delivered to the extent necessary to give such Lender the Bank true and accurate knowledge of the subject matter thereof, (ii) not contain any untrue statement of a material factfact in all material respects in light of the circumstances under which the Information is delivered, and (iii) not omit to state a material fact necessary in order to make the statements contained therein not misleading in the light of the circumstances under which they were are made, and the furnishing of the same to the Administrative Agent or any Lender Bank shall constitute a representation and warranty by the Borrower made on the date the same are so furnished to the effect specified in clauses (i), (ii) and (iii).
