Common use of GAAP Statements Clause in Contracts

GAAP Statements. ALIC has previously delivered to AML, or w▇▇▇ have delivered to AML upon completion, true and complete copies of the AIC Statements and the AVLIC GAAP Statements. (a) Except as disclosed in Section 3.13 of the Disclosure Schedule, and to the Knowledge of ALIC, each AIC Statement complied or will ▇▇▇▇ly in all material respects with all applicable laws when so filed and material deficiencies known to ALIC with respect to any AIC Statement hav▇ ▇▇en cured or corrected. Each AIC Statement, including without limitation the reports to the Commission pursuant to Section 17 of the Securities and Exchange Act of 1934 and Rule 17a-5 thereunder was prepared in accordance with GAAP, is or will when filed or provided be true and complete in all material respects, and does or will fairly present, in all material respects, all of the information contained therein, including without limitation the assets, liabilities, capital and surplus, and results of operations of AIC as of the respective dates thereof or periods covered thereby.
