General Activities. While providing the specific activities, Contractor agrees to: A. Provide mental health services that are strengths-based, person-centered, safe, effective, timely and equitable; supported by friends, family, and the community; with an emphasis on promoting whole health, wellness and recovery. B. Ensure that service frequency is individualized and based upon best practices related to the need of each beneficiary. C. E. Ensure that direct clinical services are provided by licensed, registered or waivered clinicians or trained support counselors or peer specialists. 1. Assessment activities and clinical treatment services (i.e., 1:1 therapy, family therapy, and group psychotherapy) can only be provided by licensed or registered clinicians. 2. “Other Qualified Providers”, such as mental health specialist level staff or peer specialists, are authorized to bill for Medi-Cal reimbursable mental health services, such as targeted case management, rehabilitative services, collateral, or plan development 3. If Contractor employs staff with less education than a BA/BS in a mental health or social work field, and less experience than 2 years in a mental health related field, the Contractor will provide and document training around any service activity for which the staff will be providing. F. Supervise unlicensed staff in accordance with Medi-Cal and the applicable California State Board guidelines and regulations. G. The Child and Adolescent Needs and Strengths (CANS) (ages 0-20), Adult Needs and Strength Assessment (ANSA) (ages 21+), and/or the Reaching Recovery Assessment outcome measures and level of care determination tools prescribed by the County shall be used with all County beneficiaries at the required intervals of initial assessment, annually, and discharge from treatment. General Activities. Except as otherwise expressly provided herein, Licensee shall have the sole right for developing and commercializing Licensed Products for use in the Licensed Field of Use and Ganeden shall have the sole right for developing and commercializing Licensed Products for use in the Excluded Fields of Use. Each Party shall ensure that any sale, distribution or other transfer of a Licensed Product shall be subject to the appropriate label license (or other reasonable restrictions) under which such Licensed Product may only be marketed, promoted, and sold for use in its respective fields of use (with respect to Licensee, the Licensed Field of Use and with respect to Ganeden, the Excluded Fields of Use). Each Party shall use commercially reasonable efforts to prevent any Licensed Product sold or otherwise distributed by, or under the authority of, it or its Affiliates or licensees or sublicensees, directly or indirectly, from being sold, distributed or otherwise transported for use outside its respective fields of use (with respect to Licensee, the Excluded Fields of Use and with respect to Ganeden, the Licensed Field of Use). Each Party shall promptly notify the other Party in the event it or its Affiliate or licensee or sublicensee has reason to believe that any such Licensed Product sold or otherwise distributed has been or will be used outside its respective fields of use, and each Party shall not sell or otherwise distribute Licensed Product to any Third Party if it or its Affiliate or licensee or sublicensee knows, or has reason to know, that such Licensed Product may be sold or transferred, directly or indirectly, for use outside its respective fields of use.
General Activities. The Service Provider will be responsible for the following general activities with respect to the provision of electric service to customers of the T&D System: (a) Governance (i) assigning a full-time, core Senior Management team from the Service Provider with defined responsibilities (each a “Senior Manager”) to carry out in a timely manner the Service Provider’s obligations under this Agreement and from which one such Senior Manager, located on Long Island, shall be designated as the Service Provider’s single point of contact for LIPA with decision making authority and overall oversight responsibility related to the Operations Services; (ii) assigning and supervising the Service Provider, ServCo and Subcontractor workforce consistent with the day-to-day requirements of this Agreement; and (iii) assigning and allocating physical resources consistent with the day-to-day and special occasion operational requirements of this Agreement. (b) Information Technology (i) as more fully described in Section 4.11 hereof, providing information technology systems maintenance support and improvements in accordance with strategic goals of achieving interoperability and “near plug and play” flexibility of open design and standard-based data architecture and in compliance with requirements for technical architecture, data modeling and software development life cycle; and safeguarding the system software and data. (c) Human Resources (i) providing all personnel and human resource-related services and personnel training for the Service Provider and ServCo personnel and providing emergency and other training to LIPA personnel consistent with the other services provided by the Service Provider under this Agreement, including preparing, maintaining and providing to LIPA staffing and training plans; (ii) developing and maintaining System Policies and Procedures and any other procedures necessary, appropriate or advisable relating to the provision of Operations Services hereunder, and training the Service Provider and ServCo workforce in accordance therewith; (iii) interfacing with the labor union representing any ServCo employees and management of ServCo’s labor and employee relations; Benefit Plans; (iv) administration and management of the ServCo (v) recruiting, retaining, deploying, and supervising ServCo and subcontract labor and resources; and (vi) developing safety programs, safety reports, and written procedures and practices for the Service Provider’s staff.
General Activities. The ODFW will coordinate a variety of management activities pursuant to the Agreement for Oregon chub. These management activities include the following: 1) translocating Oregon chub to the Enrolled Properties; 2) monitoring the status of translocated Oregon chub and carrying out additional translocations as needed; and 3) maintaining the Enrolled Properties or restoring habitat in a manner compatible with the management or restoration activities described in the Agreement.

Notwithstanding the foregoing, the Manager and/or the Hotel Operator shall have the right to restrict access to, or remove people or property from, the Public Access Components which, in the sole, reasonable discretion of the Manager and/or the Hotel Operator, block, restrict, obstruct, cause a nuisance or otherwise impede or impair activities of the Manager or Hotel Operator, or activities related to the operation of the Hotel or the Project.
