Common use of General Knowledge Clause in Contracts

General Knowledge. This Agreement shall not preclude either Party from using its general knowledge, skills and experience; provided, however, that, in each case, such Party does not use or disclose in connection therewith any of the Confidential Information of the other Party or its Affiliates (or in case of Sears, any Eligible Recipient) or infringe or misappropriate any Intellectual Property Rights of the other Party or its Affiliates (or in case of Sears, any Eligible Recipient).
