General Representations and Warranties of Vendor. Vendor represents and warrants to the PBC that the following are true and correct as of the Effective Date and as of the effective date of any Task Order entered into thereafter, and will remain true and correct throughout the Term: (a) Corporate Existence and Power and Authority. Vendor is a corporation duly incorporated, validly existing and in good standing under the laws of the State of its incorporation. Execution of the Agreement by Vendor is authorized by requisite corporate action on the part of Vendor, and the signature(s) of each person signing on behalf of Vendor have been made with complete and full authority to commit Vendor to all terms and conditions of the Agreement, including each and every representation, certification and warranty contained in it, and including the representations, certifications and warranties collectively incorporated by reference.

(v) The Contractor has adequate resources to fulfill its obligations under this Contract. (vi) Neither Contractor nor Contractor’s subcontractors has past state or federal violations, convictions or suspensions relating to miscoding of employees in NCCI job codes for purposes of differentiating between independent contractors and employees.
