General Scope. Except for matters on which the Members’ approval is required by the Act or this Agreement, the Manager has full power, authority and discretion to manage and direct the Company’s business, affairs and properties, including the specific powers referred to in paragraph (b), below.
General Scope. 1. This Convention shall apply only to persons who are residents of one or both of the Contracting States, except as otherwise provided in the Convention.
2. Except as provided in subparagraph a) of paragraph 4 of Article 22 (Relief from Double Taxation), the Convention shall not restrict in any manner any benefit now or hereafter accorded:
a) by the laws of either Contracting State; or
b) by any other agreement to which the Contracting States are party.
3. a) Notwithstanding the provisions of sub-paragraph b) of paragraph 2 of this Article:
i) for purposes of paragraph 3 of Article XXII (Consultation) of the General Agreement on Trade in Services, the Contracting States agree that any question arising as to the interpretation or application of this Convention and, in particular, whether a taxation measure is within the scope of this Convention, shall be determined exclusively in accordance with the provisions of Article 24 (Mutual Agreement Procedure) of this Convention; and
ii) the provisions of Article XVII of the General Agreement on Trade in Services shall not apply to a taxation measure unless the competent authorities agree that the measure is not within the scope of Article 23 (Non- Discrimination) of this Convention.
b) For the purposes of this paragraph, a “measure” is a law, regulation, rule, procedure, decision, administrative action, or any similar provision or action.
4. Except to the extent provided in paragraph 5, this Convention shall not affect the taxation by a Contracting State of its residents (as determined under Article 4 (Resident)) and its citizens. Notwithstanding the other provisions of this Convention, a former citizen or former long-term resident of a Contracting State may, for the period of ten years following the loss of such status, be taxed in accordance with the laws of that Contracting State.
5. The provisions of paragraph 4 shall not affect:
a) the benefits conferred by a Contracting State under paragraph 2 of Article 9 (Associated Enterprises), paragraphs 1 b), 2, 5, 6 and 9 of Article 17 (Pensions, Social Security, Annuities, Alimony, and Child Support), and Articles 22 (Relief from Double Taxation), 23 (Non-Discrimination), and 24 (Mutual Agreement Procedure); and
b) the benefits conferred by a Contracting State under paragraph 7 of Article 17 (Pensions, Social Security, Annuities, Alimony, and Child Support), Articles 18 (Government Service), 19 (Students, Trainees, Teachers and Researchers), and 27 (Members of Diplo...
General Scope. 1. This Convention shall apply to interest paid by a Paying Agent established within the territory of one of the Contracting States with a view to enable savings income in the form of Interest Payments made in one Contracting State to Beneficial Owners who are individuals resident for tax purposes in the other Contracting State to be made subject to effective taxation in accordance with the laws of the latter Contracting State.
2. The scope of this Convention shall be limited to taxation of savings income in the form of Interest Payments on debt claims, to the exclusion, inter alia, of the issues relating to the taxation of pension and insurance benefits.
3. As regards the Kingdom of the Netherlands, this Agreement shall apply only to the Netherlands Antilles.
General Scope. All terms used herein shall be as defined in the attached Agreement (the "Agreement") except that ADM is referred to as the "Transfer Agent." In accordance with the terms of the Agreement the Transfer Agent will provide a comprehensive Shareholder accounting service generally consistent with that provided to other investment companies, including:
a. dividend accounting;
b. arrangement for wire receipt and payout of Shareholder funds;
c. to the extent that it is reasonably within the control of, or can be reasonably arranged without additional cost by, the Transfer Agent, the rapid and efficient transfer of investment monies between various accounts;
d. to the extent that it is reasonably within the control of, or can reasonably be arranged without additional cost by, the Transfer Agent, the effective and controlled processing of expedited redemptions and exchanges by telegraphic and telephonic means.

2. This Convention shall not restrict in any manner any exclusion, exemption, de- duction, credit, or other allowance now or hereafter accorded:
a) By the laws of either Contracting State; or
b) By any other agreement between the Contracting States.
3. Notwithstanding the provisions of subparagraph 2 b):
a) The provisions of Article 26 (Mutual Agreement Procedure) of this Con- vention exclusively shall apply to any dispute concerning whether a meas- ure is within the scope of this Convention, and the procedures under this Convention exclusively shall apply to that dispute; and
b) Unless the competent authorities determine that a taxation measure is not within the scope of this Convention, the non-discrimination obligations of this Convention exclusively shall apply with respect to that measure, except for such national treatment or most favored nation obligations as may apply to trade in goods under the General Agreement on Tariffs and Trade. No national treatment or most favored nation obligation under any other agreement shall apply with respect to that measure.
c) For the purpose of this paragraph, a "measure" is a law, regulation, rule, procedure, decision, administrative action, or any similar provision or ac- tion.
4. Notwithstanding any provision of the Convention except paragraph 5 of this Ar- ticle, a Contracting State may tax its residents (as determined under Article 4 (Resi- dence)), and by reason of citizenship may tax its citizens, as if the Convention had not come into effect.
5. The provisions of paragraph 4 shall not affect:
a) The benefits conferred by a Contracting State under paragraph 2 of Article 9 (Associated Enterprises), and under Articles 24 (Relief from Double Taxation), 25 (Non-discrimination), and 26 (Mutual Agreement procedure); and
b) The benefits conferred by a Contracting State under Articles 20 (Govern- ment Service), 21 (Students, Trainees, Teachers and Researchers), and 28 (Diplomatic Agents and Consular Officers), upon individuals who are nei- ther citizens of, nor have immigrant status in, that State.
General Scope. Except for matters on which the Members’ approval is required by the Act or this Agreement, the Manager has full power, authority, and discretion to manage and direct the Company’s and each Series’ business, affairs, and Properties, do, all things and on such terms as it determines to be necessary or appropriate to conduct the business of the Company and each Series including the specific powers referred to in paragraph (b), below. The Manager may delegate to any Persons any of the powers and authority vested in it hereunder and may engage such Persons to provide administrative, compliance, technological, accounting, and other services to the Company, on such terms and conditions as it may consider appropriate.
General Scope. Agent shall manage, coordinate and supervise the ------------- proper conduct of the operation, maintenance and management (including internal accounting functions) of the Property (all such activities being hereinafter collectively referred to as "Management Activities"), consistent with good industry practice and standards acceptable to Owner. Agent shall have such responsibilities, and shall perform or take, or cause to be performed or taken, all such services and actions customarily performed or taken by managing agents of property of similar nature, location and character to that of the Property as Agent shall reasonably deem necessary or advisable for the proper conduct of the Management Activities, including, without limitation, the duties and powers set forth in subsections (b) through (k) below. Unless otherwise specifically provided in this Agreement, all services and actions which Agent is required or permitted to perform or take, or cause to be performed or taken, under this Agreement in connection with the Management Activities shall be performed or taken, as the case may be, for and on behalf of Owner and at Owner's expense (exclusive of Agent's overhead expenses, travel expenses, compensation of Agent's executives and other home office employees, bookkeeping expenses, and expenses relating to the preparation of management and leasing reports), including, without limitation, Agent's contracting with third parties for certain services as provided for hereinbelow. Notwithstanding the foregoing, Agent shall be subject to the limitations of Agent's power and authority set forth in Section 5 below. No business of Agent other than the Management --------- Activities shall be transacted at the Property or from offices located thereon, and the use of the Property by Agent or its employees shall be limited to the conduct of the Management Activities.
General Scope. This Agreement specifies the terms and conditions under which Supplier will provide Services to HP, as requested from time to time and as further described in a Statement of Work (defined below). Except as otherwise stated in this Agreement, the parties intend, and hereby agree, that any such Statement of Work shall be governed by this Agreement, as though the provisions of this Agreement were set forth in their entirety within such Statement of Work, and so that each Statement of Work and this Agreement shall be considered one, fully integrated document and agreement.

Unless otherwise specifically provided in this Agreement, the written directives of Owner or the Investment Committee, the Approved Guidelines, or the Approved Operating Budget (collectively, the “Guiding Documents”), all services and actions that Manager is required or permitted to perform or take, or cause to be performed or taken in connection with the management of the Properties shall be performed or taken, as the case may be, on behalf of Owner and at Owner’s sole cost, expense, and risk. Manager’s authority is limited to performing the services set forth herein and the other Guiding Documents. Except as provided in the Guiding Documents, Manager shall have no authority (a) to execute any contract or agreement for or on behalf of Owner, (b) to provide additional services or modify existing services to tenants, or (c) to assume or create any obligation or liability or to make any representation, covenant, agreement or warranty for or on behalf of Owner.
