Common use of General Software License Terms Clause in Contracts

General Software License Terms. The executable version of the Software is licensed to Customer on a non- exclusive basis. The Software is licensed solely for Customer’s use in supporting its own operations or those of its affiliates, unless the applicable Order expressly authorizes use by Customer as a “Managed Services Provider” or “MSP,” or “MSSP” or like designation, in which case the Software is licensed for use in providing managed security services subject to the additional applicable conditions and restrictions in the Product Specific Terms. The Software is licensed for a limited term unless the applicable Order expressly states that the license is “perpetual.” The term of each license is stated in the Order or, if no term is stated, is one month. The license may not be transferred or assigned except as part of an assignment of the Agreement that is permitted by Section 20 (Assignment, Subcontractors). Customer may permit the use of the Software only by individuals who are Authorized Users and may not otherwise sublicense or permit the use of the Software by any other individuals. Unless stated in the Product Specific Terms or the Order, the license is worldwide, subject to applicable export law. The license is subject to the following conditions and restrictions: (i) Fee Metric. Customer may not use or permit the use of the Products in excess of the applicable licensing metric established in the Order;
