Common use of GENERAL TERMS AND CONDITIONS OF PURCHASE Clause in Contracts

GENERAL TERMS AND CONDITIONS OF PURCHASE. This Purchase Order from Buyer is for the Goods and/or Services described on the front page and incorporates these general terms and conditions of purchase ("Terms"). Seller is deemed to accept and acknowledge the Purchase Order and the Terms, whichever is earlier, (a) by signing and returning these Terms, (b) by electronic acceptance via email or Buyer's system, or (c) by delivering any the Goods to the specified delivery address or performing the Services. If Seller does not object to Buyer on any terms of Purchase Order within 14 days of the issuance of Purchase Order, it is deemed to acknowledge and accept the Purchase Order and the Terms. This Purchase Order and these Terms embody the entire understanding between the Parties and supersede all other prior understandings and agreements, oral or in writing, between the Parties with respect to the Goods and/or Services, and may be amended only by a written agreement signed by both Parties that expressly refers to this Purchase Order. No terms or conditions endorsed upon or contained in Seller's quotation, acknowledgement or acceptance of order, specification or similar document shall form part of or replace the Terms and Seller waives any right which it otherwise might have to rely on such terms and conditions. Seller shall include the reference number of this Purchase Order and the name of ▇▇▇▇▇'▇ contact person in all documentation and correspondence relating to this Purchase Order.
