Common use of Generator Payment Obligations Clause in Contracts

Generator Payment Obligations. Consistent with the following detailed provisions (Sections 2.2 through 2.5), Generator must timely submit payment for all Interconnection Facilities and, as applicable, any Refundable Network Upgrades Project as described in Exhibit A. Interconnection Costs include: (i) Installation Costs; (ii) Operations and Maintenance(O&M)/Administrative/Metering; and (iii) potentially, Tax Impact Amount, as described in Sections 2.2 through 2.4. Exhibit A details the estimated Interconnection Costs. GPC will determine the final Installation Costs and associated O&M and Tax Impact Amount in accordance with Section 2.9 (Reconciliation). Generator’s payment obligations regarding any Refundable Network Upgrades Project(s) are described in Section 2.5 (Refundable Network Upgrades Costs) and Exhibit A Section 6 (Estimated Refundable Network Upgrades Costs) identifies Generator’s payment obligations regarding any Refundable Network Upgrades Project(s). Generator acknowledges that the estimated costs identified in Exhibit A do not include any Affected System- Interconnection Entity Upgrades costs that may be necessary, as referenced in Section 1.2.C (Affected System- Interconnection Entity Upgrades), for which Generator may be responsible and that any payment obligations for Affected System-Interconnection Entity Upgrades will be exclusively between Generator and the Affected System- Interconnection Entity. The cost estimates and amounts stated in Exhibit A are valid until the deadline for payment stated in Exhibit A. If there is a Change Event, the cost estimates and amounts stated in Exhibit A (except Sections 3 (QFIA Administrative Fee) and 4 (QFIA Metering Service Charge)) are subject to adjustment under Project Changes (Section 2.6). Generator also acknowledges that any costs not expressly assumed by GPC under this QFIA would be the responsibility of Generator.
