Common use of Global Securities Temporary Securities Clause in Contracts

Global Securities Temporary Securities. No definitive Security shall be issued in exchange for a Global Security deposited with the Depositary pursuant to Section 302 representing any Securities unless such transfer complies with Section 304 of this Indenture and (i) the Depositary notifies the Company that it is unwilling or unable to continue as Depositary for such Global Security or, in the case of a Depositary located in the United States, if at any time such Depositary ceases to be a "CLEARING AGENCY" registered under the Exchange Act and a successor depositary is not appointed by the Issuer within 90 days of such notice or (ii) the Company determines not to have the Securities represented by a Global Security; provided, however, that the Company may not make such determination during any period during which the Securities must be held in global form as may be required by the Securities Act.
