Good Business Practices. Each of the parties agrees that (i) it has not and will not, in connection with the formation or performance of the Agreement, engage in any illegal, unfair, deceptive, or unethical business practices whatsoever, including, but not limited to, any act that would constitute a violation of the (a) Brazilian Federal Law 12.846/2013 (Brazilian Anti-Corruption Law), the U.S. Foreign Corrupt Practices Act or the U.K. Bribery Act or any similar anti-corruption or bribery laws in any jurisdiction, including but not limited to receiving anything of value from, or offering anything of value to either private parties or government or public officials with the intent that the recipient perform improperly a relevant function or activity or a person be rewarded for improper performance; a government or public official includes employees and officers of a government agency, department or instrumentality, as well as the employees or officers of government-owned or government-controlled companies, public international organizations, political parties and candidates for political office; (b) anti-slavery legislations, including but not limited to article 149 of the Brazilian Criminal Code; (c) any statutes that prohibit child labor, including but not limited to Brazilian Federal Law 10.097/2000; and (d) any legal provisions that prevent discrimination of any nature, including Brazilian Federal Law 12.288/2010, among others; and (ii) it will comply with all applicable employment and occupational health and safety laws and regulations, including those related to employment practices, wages, and worker classification and it will comply with all applicable tax and social security laws as to its employees or contractors.
