Good Standing/Licensing. Trustor is duly organized, ----------------------- validly existing and in good standing under the laws of its state of organization, is duly licensed or qualified to do business and is in good standing and is authorized to do business in every jurisdiction in which the nature of its businesses or properties makes such licensing or qualification necessary and where a failure to so qualify or be licensed would have a materially adverse effect on the business or operations of the Trustor, and is in compliance with all laws, regulations, ordinances and orders of public authorities applicable to Trustor. If Trustor is a corporation or partnership, the execution of the Note and the Loan Documents are within Trustor's corporate or partnership powers.

Good Standing/Licensing. Cambridge is a corporation duly organized, validly existing and in good standing under the laws of the state of its incorporation, has full power and authority to own, lease and operate its properties and assets, to perform its obligations under this Agreement, and to conduct its business as now being conducted, and is duly qualified or licensed to do business as a foreign corporation, and is in good standing, in all jurisdictions where the character of the properties it owns, leases or operates, the performance of its obligations under this Agreement or the conduct of its business, requires such qualification or licensing. Cambridge is duly licensed as a claims adjuster in every jurisdiction where the conduct of its business requires such licensing.

  • Good Standing The Representatives shall have received on and as of the Closing Date or the Additional Closing Date, as the case may be, satisfactory evidence of the good standing of the Company and its subsidiaries in their respective jurisdictions of organization and their good standing as foreign entities in such other jurisdictions as the Representatives may reasonably request, in each case in writing or any standard form of telecommunication from the appropriate governmental authorities of such jurisdictions.
