Governing Agreements. 4.1 The copies of the Organisational Documents of the Target Group Companies contained in the Disclosure Documents are up to date, true, accurate and complete in all respects and copies of all the resolutions and agreements required to be annexed to or incorporated in those documents by Law are annexed or incorporated. 4.2 Except for the Subscription Agreement and its Organisational Documents, there are no shareholder agreements, voting agreements or similar arrangements or understandings to which any Target Group Company is a party or by which it is bound relating to the voting or registration of any shares or equity interests in the capital of a Target Group Company. 4.3 The execution and delivery of this Agreement and the other Transaction Documents and the performance of and compliance with their terms and provisions will not conflict with or result in a breach of, or constitute a default under, (i) the Organizational Documents of any Target Group Company, (ii) any agreement or instrument to which any Target Group Company is a party or by which it is bound, or (iii) any Law that applies to or binds any Target Group Company or any of its property.
