Common use of Governing law and litigation Clause in Contracts

Governing law and litigation. This agreement shall be governed by and construed under the laws of the Philippines. It is agreed that in the event of any controversy or litigation arising out of this Agreement, your books shall be final and conclusive evidence of the amount due to you. You shall be entitled to reimbursement for all actual expenses of litigation as well as attorney's fees and cost of suit, all of which shall be in amount equivalent to not less than twenty-five percent (25%) of the total amount of my indebtedness then outstanding to you. Venue for litigation shall be in the proper courts of Makati, and I hereby waive any other applicable venue.
