Governing Law; Language. (a) Governing Law: Any claim or controversy arising out of or relating to this Agreement or to matters of the place of contracting, interpretation, performance, breach, and obligations of the parties will be construed and adjudicated in accordance with the laws of the state or province in which Seller has its principal place of business (as indicated in the Order Documentation). The United Nations Convention on Agreements for the International Sale of Goods will not apply to this Agreement.
