Common use of Governmental and Other Authorizations Clause in Contracts

Governmental and Other Authorizations. The execution and delivery of this Agreement and the consummation or performance by Medicis of its obligations hereunder: (a) do not require any approval of any Governmental Body on the part of Medicis or any material consent, waiver or approval of any other Person on the part of Medicis, other than the filing of a report and notification pursuant to the HSR Act and the expiration of all waiting periods thereunder; and (b) as of the date of this Agreement, do not give any Governmental Body the right to revoke, withdraw, suspend, cancel, terminate or modify, any Governmental Authorization that is part of the Intellectual Property.
